An NDA protects the secret and that’s about it. It stops a third party from disclosing information, but it doesn’t define the purpose of processing, its duration, or who bears responsibility if something goes wrong.
A DPA nails down all three
A Data Processing Agreement states the purpose, the duration, the security obligations, and the incident-notification mechanism. Any third party touching your personal data, whether that’s a cloud provider, a marketing partner, or an accounting firm, needs a DPA. An NDA alone won’t cover it.
